1.0 ACCEPTANCE OF TERMS

By accessing and using the fromBRADlabs website, services, or engaging with fromBRADlabs for any project or service, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

Effective Date: These terms are effective as of the date you first access our website or engage our services.

Updates: fromBRADlabs reserves the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.

2.0 SERVICES AND ENGAGEMENTS

2.1 Service Scope

fromBRADlabs provides various services including but not limited to:

  • Website Development
  • Business Automation
  • Special Project Solutions
  • Custom Merchandise
  • 3D Design
  • Ideation Brainstorming
  • NFC Card Creation
  • All-In-One Solutions

2.2 Statement of Work (SOW)

All services are provided according to a Statement of Work (SOW) that defines:

  • Project scope and deliverables
  • Timeline and deadlines
  • Pricing and payment terms
  • Move Forward Dates (see Section 3.0)
  • Change Request process (see Section 4.0)
CRITICAL: Only items explicitly listed in the SOW are guaranteed. Anything not in the SOW is NOT GUARANTEED and requires a Change Request.

3.0 MOVE FORWARD DATE SYSTEM

3.1 Definition

MOVE FORWARD DATE (MFD): The contractually agreed-upon date by which a project MUST be complete. This is the ultimate deadline that protects fromBRADlabs from projects dragging on indefinitely.

Core Principle: "The date where the project has to move on" - This is the date the project is DONE, regardless of client readiness.

3.2 MOVE FORWARD DATE IS NON-NEGOTIABLE

🚨 CRITICAL: MOVE FORWARD DATE CANNOT BE EXTENDED
  • This date CANNOT be extended, rescheduled, or modified under any circumstances
  • Extension requests will NOT be granted
  • This date is final and non-negotiable
  • Both parties acknowledge this in signing the SOW
  • Early completion is acceptable, but MFD cannot be extended

3.3 What Happens on the Move Forward Date

  • Project is considered COMPLETE (regardless of client readiness)
  • Final invoice will be issued
  • fromBRADlabs moves on to other projects
  • Any additional work requires a new engagement

3.4 Supporting Deadlines

Supporting deadlines (SOW Finalization, Client Materials, Phase Approvals) feed INTO the Move Forward Date. Missing these deadlines jeopardizes the Move Forward Date.

SOW Finalization Deadline: All scope changes must be submitted IN WRITING before this date. After this date:

  • No additions to scope will be accepted without a formal Change Request
  • Change Requests incur additional fees and timeline adjustments
  • All requirements are considered FINAL
  • ANYTHING NOT IN SOW IS NOT GUARANTEED

3.5 Client Delays

If client delays (missed materials, delayed approvals, etc.) occur:

  • We will communicate immediately and work together to complete the project by the Move Forward Date
  • The Move Forward Date itself will NOT be extended
  • We will use placeholders, adjusted approaches, or other methods to ensure completion by this date

4.0 SCOPE CHANGES AND CHANGE REQUESTS

4.1 Scope Changes Require Change Request

CRITICAL: Any additions, modifications, or changes to the project scope that are not explicitly listed in the SOW require a formal Change Request.

After SOW Finalization Deadline:

  • No additions to scope will be accepted without a formal Change Request
  • Change Requests incur additional fees and timeline adjustments
  • All requirements are considered FINAL
  • ANYTHING NOT IN SOW IS NOT GUARANTEED

4.2 Change Request Process

Every Change Request must include:

  • Description of change
  • Impact on timeline
  • Impact on budget (additional fees apply)
  • Impact on other deliverables
  • Client approval required
  • Written approval before work begins

Change Request Workflow:

  1. Client submits written change request
  2. fromBRADlabs assesses impact (timeline, budget, resources)
  3. Change Request quote provided within [X] business days
  4. Client approves or denies Change Request
  5. Work begins ONLY after written approval

4.3 Additional Fees for Scope Changes

Scope changes incur additional fees:

  • Change Requests are quoted individually based on the work required
  • Additional fees apply for timeline adjustments
  • Additional fees apply for resource reallocation
  • Additional fees apply for rush work or expedited timelines

Payment Terms for Change Requests:

  • Change Request fees are due upon approval
  • Work begins only after payment is received
  • Change Request fees are separate from original project fees

4.4 Change Requests Do NOT Extend Move Forward Date

CRITICAL: Change Requests do NOT extend the Move Forward Date. The Move Forward Date remains fixed regardless of scope changes.

If a Change Request requires additional time:

  • We will work to complete within the original Move Forward Date
  • If completion by Move Forward Date is not possible, we will discuss options
  • The Move Forward Date itself will NOT be extended

5.0 PAYMENT TERMS

5.1 Payment Schedule

Payment terms are defined in the Statement of Work (SOW) and may include:

  • Deposit upon signing (typically 30-50% of total project cost)
  • Milestone payments tied to deliverables
  • Final payment upon project completion
  • Payment due dates tied to project milestones

5.2 Payment Methods

fromBRADlabs accepts payment via:

  • Stripe (credit card, debit card)
  • Bank transfer (for larger projects)
  • Other methods as agreed upon in SOW

5.3 Late Payment

  • Payments are due according to the schedule in the SOW
  • Late payments may result in project delays
  • Interest may accrue on overdue amounts
  • Project work may be paused until payment is received

5.4 Refund Policy

  • Deposits are typically non-refundable once work has begun
  • Refunds for undelivered work may be provided at fromBRADlabs' discretion
  • Refund amounts will be calculated based on work completed and expenses incurred
  • Change Request fees are non-refundable once work has begun

6.0 STRIPE PAYMENT PROCESSING

6.1 Stripe Integration

When making payments through our website or Stripe payment links:

  • Payments are processed securely through Stripe
  • fromBRADlabs does not store your full payment card information
  • Stripe handles all PCI compliance requirements
  • Payment data is encrypted and secure

6.2 Payment Processing Terms

  • All payments are processed in USD
  • Stripe fees may apply (typically 2.9% + $0.30 per transaction)
  • Payment links may have expiration dates
  • Failed payments may result in service delays

6.3 Disputes and Chargebacks

  • If you have a dispute, please contact us directly before initiating a chargeback
  • We will work to resolve disputes amicably
  • Unauthorized chargebacks may result in service termination
  • Chargeback fees may be passed through to the client

7.0 INTELLECTUAL PROPERTY

7.1 Client Ownership

Upon full payment, clients own:

  • Final deliverables as specified in the SOW
  • Custom work created specifically for the client
  • Client-provided materials and content

7.2 fromBRADlabs Retained Rights

fromBRADlabs retains rights to:

  • Proprietary methodologies and processes
  • Reusable code, templates, and frameworks
  • Portfolio usage rights (with client permission)
  • Case study usage (with client permission)

7.3 Third-Party Materials

  • Client is responsible for obtaining rights to third-party materials
  • fromBRADlabs is not responsible for third-party copyright or licensing issues
  • Client indemnifies fromBRADlabs against third-party claims

8.0 CONFIDENTIALITY

8.1 Confidential Information

Both parties agree to maintain confidentiality of:

  • Business strategies and plans
  • Financial information
  • Proprietary methodologies
  • Client data and information
  • Project details and specifications

8.2 Exceptions

Confidentiality does not apply to:

  • Information already publicly available
  • Information independently developed
  • Information required by law or court order

9.0 WARRANTIES AND DISCLAIMERS

9.1 Service Warranties

fromBRADlabs warrants that:

  • Services will be performed in a professional manner
  • Deliverables will meet specifications in the SOW
  • Work will be completed by the Move Forward Date (or earlier)

9.2 Disclaimers

fromBRADlabs disclaims:

  • Warranties not explicitly stated in the SOW
  • Guarantees about business results or outcomes
  • Responsibility for third-party services or platforms
  • Liability for client-provided materials or content

9.3 Limitation of Liability

  • fromBRADlabs' liability is limited to the total project fee
  • fromBRADlabs is not liable for indirect, consequential, or incidental damages
  • Client's sole remedy is limited to correction of defects or refund of fees

10.0 TERMINATION

10.1 Termination by Client

Client may terminate with written notice:

  • Completed work will be delivered
  • Payment is due for work completed
  • Refund may be provided for undelivered work (less expenses)

10.2 Termination by fromBRADlabs

fromBRADlabs may terminate if:

  • Client fails to make payments
  • Client is unresponsive for extended periods
  • Client requests unethical work
  • Client violates agreement terms
  • Continued engagement is untenable

Upon fromBRADlabs termination:

  • Completed work delivered to client
  • Refund of fees for undelivered work (less expenses)

11.0 WEBSITE USE TERMS

11.1 Website Access

  • Website access is provided "as is"
  • fromBRADlabs reserves the right to modify or discontinue the website
  • Website may be unavailable for maintenance or updates

11.2 User Conduct

Users agree not to:

  • Use the website for illegal purposes
  • Attempt to gain unauthorized access
  • Interfere with website functionality
